Board of Directors, Minutes & By-Laws

From the Board Room

The regular meeting of the Board of Directors of the Mille Lacs Energy Cooperative was held at its office in Aitkin, Minnesota on November 16, 2017.  All board members were present. President Harold Harms called the meeting to order at 9:00 a.m.

Routine business included approval of the October minutes and approval of manager and directors’ expense vouchers. Routine reports included team reports, an update on general manager’s activities since last month, the monthly safety meeting and accident and mileage report, employee utilization, CFC information, the MREA board report and the GRE (Great River Energy) board report. The 2018 Annual Technology Plan and the 2018-2021 Construction Work Plan were presented. The role of fiber was discussed.

In other action, the board:

  • Approved work orders for September.
  • Approved write-offs for the month.
  • Approved retiring capital credits in the amount of $634,100 to be applied to the bills of active members or by check in December.
  • Approved the following revised policies with one administrative correction to Administrative Policy   No. 517A.
  • Policy No. 517 – Safety, Reliability and Service Quality
  • Administrative Policy No. 517A – Process for Implementation of Safety, Reliability and Service Quality
  • Policy No. 601 – Resale of Materials and Supplies
  • Policy No. 602 – Scrap and Junk Materials Handling
  • Confirmed meetings, including regular board meeting dates of December 15, 2017, January 19, 2018 and February 16, 2018.

Meeting recessed for lunch at 12:10 p.m. and reconvened at 1:05 p.m. in Executive Session. Meeting adjourned at 4:00 p.m.

The Cooperative is divided into seven districts.  Each is represented by one member of that district on the Board of Directors.  Director candidates are solicited from within each district though an open filing process. Directors are elected by those members present at the Annual Meeting and by mail ballot.  They are elected for three-year terms. The Board members set the policies by which the Cooperative operates, and they hire a general manager.  They meet monthly, normally the third Friday.
